Consignment Agreement

This is a non-exclusive Agreement between _____________________________________________, (“Artist”); and ______________________________________________________, (“Retailer”). Retailer agrees to sell Artist’s arts/crafts (“Artworks”) on a consignment basis.  Descriptions of Artworks and prices are set forth in the Consignment Inventory, attached and made a part of this Agreement. Any additional Artworks requested by Retailer shall be accompanied by a revised Consignment Inventory, which shall also become a part of this Agreement. Artist reserves the right to change prices at any time by issuing a new Consignment Inventory. Both Artist and Retailer shall sign all Consignment Inventories.

Artist shall bear all costs associated with shipping Artworks to Retailer. For insurance purposes, any Artworks damaged or lost in shipment are to be reported to Artist immediately. Retailer shall bear the entire cost of storing all Artworks delivered to Retailer under this Agreement.  Retailer is responsible for loss of or damage to Artworks while in Retailer's custody.

Retailer shall pay to Artist the retail price set forth in the Consignment Inventory less a _______% commission for all Artworks sold. Payment for all Artworks sold, accompanied by a list of said Artworks, shall be remitted to Artist on Retailer’s standard payment schedule of every __________ days, but no later than 30 days after total amount owed Artist reaches or exceeds $__________.

Artworks consigned under this Agreement were created by Artist and are the sole property of Artist. Artworks will be held in trust by Retailer for the benefit of Artist and will not be subject to claim by creditors of Retailer. All copyright and further reproduction rights to the Artworks shall remain with Artist.

Artist and Retailer agree to an initial term of ______days, at the end of which this Agreement may be cancelled immediately with written notice, or continue on a month to month basis. After the initial term, this Agreement may be cancelled at any time by either party with 30 days written notice. Upon cancellation, Retailer shall, within 30 days and at Retailer’s expense, return any unsold Artworks to Artist along with any outstanding payment for Artworks sold. Upon cancellation, Retailer has the option to purchase the remaining Artworks at the price set forth in the Consignment Inventory less the commission amount listed above.

Written notice may be served either in hard copy or via email. All notices, payments and Artworks are to be sent to the Artist's and Retailer's respective addresses listed below.
